{"id":2961,"date":"2022-02-28T15:27:46","date_gmt":"2022-02-28T12:27:46","guid":{"rendered":"http:\/\/www.eximbank.ro\/en\/?p=2961"},"modified":"2022-02-28T15:27:46","modified_gmt":"2022-02-28T12:27:46","slug":"eximbank-and-banca-romaneasca-start-the-merger-procedures","status":"publish","type":"post","link":"https:\/\/www.eximbank.ro\/en\/2022\/02\/28\/eximbank-and-banca-romaneasca-start-the-merger-procedures\/","title":{"rendered":"EximBank and Banca Rom\u00e2neasc\u0103 start the merger procedures"},"content":{"rendered":"\n<p><strong>Bucharest, February 28, 2022<\/strong> \u2013 EximBank and Banca Rom\u00e2neasc\u0103 (BROM) start\nthe merger through absorption procedures after the pre-integration period and\nfollowing the today decision of the BROM General Shareholders Meeting\nexpressing the agreement in principle for this operation and empowering the\nadministrators of Banca Rom\u00e2neasc\u0103 to draft the merger project. <\/p>\n\n\n\n<p>\u201cIt is the first stage in a project\nrepresenting a huge step in building a strong Romanian bank that will compete head-to-head\nwith the top players on the banking market. There is a high complementarity\nbetween the business models in EximBank \u2013 specialized in corporate banking and Banca\nRom\u00e2neasc\u0103 \u2013 having a relevant experience in retail banking and the derived\nsynergies will base the financial performance and increased efficiency that\nwill support a sustainable future growth. &nbsp;It is an ambitious and complex process, highly\nchallenging for both teams and I am convinced we will manage it successfully by\nthe end of this year that is a benchmark for both banks, marking 30 years of\ncontinuous presence on the banking market.\u201d, said Traian Halalai, Executive\nPresident oof EximBank. He added that the two banks will continue to function\nseparately until the integration process ends. &nbsp;<\/p>\n\n\n\n<div class=\"wp-block-image\"><figure class=\"aligncenter size-large is-resized\"><img loading=\"lazy\" decoding=\"async\" src=\"http:\/\/www.eximbank.ro\/en\/wp-content\/uploads\/2022\/02\/fuzi.jpg\" alt=\"\" class=\"wp-image-2962\" width=\"588\" height=\"507\" srcset=\"\/wp-content\/uploads\/2022\/02\/fuzi.jpg 364w, \/wp-content\/uploads\/2022\/02\/fuzi-300x259.jpg 300w\" sizes=\"auto, (max-width: 588px) 100vw, 588px\" \/><\/figure><\/div>\n\n\n\n<p>Following successive negotiations rounds EximBank\nand National Bank of Greece (NBG) have signed on June 20, 2019, the acquisition\nof the main shares package of Banca Rom\u00e2neasc\u0103 and in December 2019 the\ntransaction received the non-pledge notification from the Competition Council\nand the Central Bank of Romania, the relevant governing bodies for this transaction.\nOnce the compulsory normative requirements have been met as well as the other\nelements provided in the agreement signed by EximBank and National Bank of\nGreece, in January 2020 all the necessary conditions for closing the\ntransactions have been fulfilled. <\/p>\n\n\n\n<p>The price that EximBank paid for the BROM\nshares amounted at approximately Euro 60 million, for an acquired capital of\napproximately Euro 130 million. Along with the price paid for the capital, the\ntotal transaction included reimbursing a subordinate loan granted to Banca Rom\u00e2neasc\u0103\nby NBG, amounting at Euro 65 million and the reimbursement by BROM of an\nintra-group financing from the mother-bank amounting at Euro 90 million, both\npaid by Banca Rom\u00e2neasc\u0103 on its own. The transaction did not involve state\nbudget financing. <\/p>\n\n\n\n<p><strong><em>About EximBank<\/em><\/strong><em><\/em><\/p>\n\n\n\n<p><em>EximBank is a specialized institution\nthat is actively involved in supporting and promoting the Romanian business\nenvironment.
